NUANCE (Text-To-Speech) END USER LICENSE AGREEMENT
a. License Grant. Netropa grants to End User a non-
exclusive, non-transferable right and license to use
the Nuance Software on a single Netropa Product.
b. Ownership of Nuance Software. End User
acknowledges that NETROPA and its licensors
and/or suppliers retain all right, title and interest in
and to the original, and any copies, of software
which is incorporated into the NETROPA thereto.
Without limiting the generality of the foregoing,
End User agrees not to: (i) modify, port, translate,
or create derivative works of the NETROPA
Product; (ii) decompile, disassemble, reverse
engineer or attempt to reconstruct, identify or
discover any source code, underlying user interface
techniques or algorithms of the NETROPA Product
by an means whatever, or disclose any of the
foregoing; (iii) knowingly take any action that
would cause any NETROPA Product to be placed
in the public domain.
c. LIMITATION OF LIABILITY. NETROPA’S AND ITS
LICENSORS’ LIABILITY TO ENDUSER FOR ANY
CLAIM ARISING UNDER THIS AGREEMENT OR
OTHERWISE ARISING FROM THE
TRANSACTIONS CONTEMPLATED HEREIN,
REGARDLESS OF THE FORM OF ACTION WILL
NOT EXCEED AGGREGATE FEES ACTUALLY PAID
TO NETROPA DURING THE ONE YEAR PERIOD
PRECEDING SUCH CLAIM.
d. CONSEQUENTIAL DAMAGE. IN NO EVENT
SHALL NETROPA OR ITS LICENSORS OR
SUPPLIERS BE LIABLE FOR ANY SPECIAL,
INDIRECT OR CONSEQUENTIAL DAMAGES,
INCLUDING, BUT NOT LIMITED TO, LOSS OR
REVENUES AND LOSS OF PROFITS, EVEN IF
NETROPA HAS BEEN ADVISED OF THE
POSSIBILITY OF SUCH DAMAGES.
